Overview

Our Terms of Service

These Terms of Service ("Terms") govern access to and use of Inventarius, a software-as-a-service platform operated by INDEX INC. By creating an account, accepting an invitation to a Company, or otherwise using the Service, you agree to be bound by these Terms.
If you do not agree, do not use the Service. Please read these Terms together with our Privacy Policy.
1. Agreement

Agreement and Company

INDEX INC., a Nevada corporation, operates the Service and is referred to as "Index", "we", "us", or "our". "Service" means the Inventarius platform, including its websites, applications, and APIs.
"Company" means the business organization that is set up as a tenant in Inventarius. "You" means the individual using the Service and, where you act for a Company, that Company.
If you use the Service on behalf of a Company, you represent that you are authorized to bind that Company to these Terms.
2. Description of Service

Description of the Service

Inventarius is a multi-tenant, cloud-based SaaS platform for businesses. It provides tools for managing product catalogs, inventory, marketplace listings, purchasing documents, product labels, and accounting reconciliation, and it can exchange data with the third-party marketplaces and accounting systems that a Company connects.
Features differ by Company, role, and connected integration. We may add, change, or remove features as described in the Service Availability and Changes section.
3. Companies and Users

Companies, Administrators, and Users

Each Company is a separate tenant, and its data is logically separated from the data of other Companies.
A Company's owner and users with administrative permissions decide who may access the Company, which roles and permissions they have, and which integrations are connected. The Company is responsible for the actions of its users and for keeping its users, roles, and connections up to date, including promptly removing people who should no longer have access.
You may belong to more than one Company. What you can see and do in each Company depends on the permissions that Company has given you.
4. Eligibility

Eligibility and Authority

You must be at least 18 years old and have the legal authority to enter into a binding agreement for yourself or for the Company you represent. The Service is intended for business and professional use.
You may not use the Service if applicable law prohibits you from doing so.
5. Accounts

Accounts and Security

You must give accurate and current information when you register and keep it up to date.
You are responsible for keeping your credentials, authenticator app, recovery codes, passkeys, and one-time verification codes confidential and for all activity under your account. Do not share your account with others; invite them to the Company instead.
Notify us immediately at security@inventarius.com if you suspect unauthorized access. We are not liable for loss arising from unauthorized access caused by a failure to safeguard your credentials.
6. Customer Data

Customer Data and Data Ownership

"Customer Data" means the data that you or your Company submit to the Service or that the Service obtains from integrations you authorize, including product, inventory, listing, purchasing, accounting, and customer information.
Customer Data remains owned by the applicable customer, tenant, seller, or other rightful data owner. The customer grants INDEX INC. only the rights necessary to host, process, transmit, and otherwise use Customer Data to provide, secure, support, and improve the Service and to operate integrations expressly authorized by the customer, subject to the Privacy Policy and applicable law.
You are responsible for the legality and accuracy of Customer Data and for having every right, consent, and notice required to submit it to the Service, including for information about your own customers.
7. Integrations

Marketplace and Third-Party Integrations

You may connect third-party services and marketplace accounts only if you are authorized to do so. Your use of Amazon, eBay, Intuit QuickBooks Online, and other third-party services remains subject to their respective terms, policies, permissions, and API restrictions. Inventarius will access those services only through connections authorized by the applicable Company.
You are responsible for complying with those terms and policies, including rules on how marketplace data may be used, retained, and deleted. We may restrict or disconnect an integration where needed to comply with a provider's requirements or to protect the Service.
You can disconnect an integration at any time. Disconnecting stops further access by Inventarius but does not by itself change data that has already been received; see Data After Termination and the Privacy Policy.
8. Acceptable Use

Acceptable Use

You agree not to:
  • use the Service for unlawful purposes or to infringe the rights of others;
  • attempt to gain unauthorized access to the Service, to data of other Companies, or to connected third-party accounts;
  • interfere with or disrupt the integrity, security, or performance of the Service;
  • reverse engineer, copy, resell, or sublicense the Service without authorization;
  • use marketplace data obtained through the Service for advertising, for sale, or for any purpose that the connected provider prohibits;
  • submit malicious code or use automated means that place an unreasonable load on the Service.
We may suspend or terminate accounts that violate these Terms.
9. Data Accuracy

Data Accuracy and No Professional Advice

Inventarius provides technical tools only. We do not provide accounting, tax, legal, or financial advice. Reports, calculations, sales-tax geography results, and analytics are informational and may contain inaccuracies. You are solely responsible for verifying data before making business or compliance decisions.
Some features use automated processing, including AI-assisted text extraction from documents and geography review. Their results can be wrong or incomplete, and you must review them before relying on them.
10. Fees

Fees and Subscriptions

Certain features may require payment. Prices, billing cycles, and subscription terms are disclosed at the time of purchase.
Payments are processed by third-party payment providers. Fees are non-refundable, except where applicable law requires otherwise or where the written subscription terms you accepted provide otherwise.
Failure to pay may result in suspension or termination of access.
11. Privacy

Privacy and Data Protection

Our Privacy Policy explains how we process personal information, and we process it in accordance with that policy and applicable law.
Where a Company uses the Service to process personal information of its own customers, the Company remains responsible for the lawful basis for that processing and for the privacy notices and requests that apply to that information, and we process the information on the Company's instructions.
12. Suspension

Suspension and Termination

We may suspend or terminate your access, or a Company's access, for violation of these Terms, for non-payment, to comply with legal obligations, or to protect the security or integrity of the Service.
You may stop using the Service at any time, and you can delete your user account from the Profile page. Upon termination, your right to access the Service ends.
13. After Termination

Data After Termination

When a Company stops using the Service or disconnects an integration, Inventarius stops accessing the connected third-party service for that Company. What happens to Customer Data afterwards follows the Privacy Policy.
Deleting a user account or ending use of the Service does not automatically destroy business, accounting, tax, transaction, or marketplace records that the Company or INDEX INC. must keep to meet legal, tax, or regulatory obligations, or that a third-party provider requires us to handle in a specific way.
You are responsible for exporting any Customer Data you need before you stop using the Service. Contact support@inventarius.com if you need help.
14. Intellectual Property

Intellectual Property

All rights, title, and interest in the Service, including software, interfaces, and documentation, are owned by INDEX INC. or its licensors. Customer Data is not part of the Service and remains with its owner as described above.
You receive a limited, non-exclusive, non-transferable license to use the Service during the term of these Terms.
15. Third-Party Services

Third-Party Services

The Service works with services that we do not own or control, such as marketplaces, accounting systems, hosting, email, and AI providers. We do not control, endorse, or guarantee their availability, accuracy, or policies, and we are not responsible for errors, interruptions, data loss, or changes caused by third-party services. Their own terms and policies apply to your use of them.
16. Availability

Service Availability and Changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may add, change, or discontinue features.
Third-party APIs may change, be limited, or be withdrawn by their providers, which may affect integrations. We are not liable for such changes.
17. Warranties

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or secure.
18. Liability

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO EVENT SHALL INDEX INC. BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE TOTAL LIABILITY OF INDEX INC. FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID TO INDEX INC. IN THE 12 MONTHS PRECEDING THE CLAIM.
19. Indemnification

Indemnification

You agree to indemnify and hold harmless INDEX INC. from claims arising out of your use of the Service, your Customer Data, your violation of these Terms, or your violation of applicable laws, third-party rights, or the terms of connected third-party services.
20. Governing Law

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in the courts located in Nevada.
21. Changes

Changes to These Terms

We may update these Terms from time to time. The current version and effective date are published on this page, and we will communicate material changes through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance.
